1. Agreement to Terms

By accessing or using any website, application, product, or service operated by Rambam's Ladder LLC ("Company," "we," "us," or "our"), including but not limited to electricianjolt.com, the Jolt application, the Senda Trades platform, sendatrades.com, and Contractors License OS (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of all Services. These Terms constitute a legally binding agreement between you and Rambam's Ladder LLC, a limited liability company organized under the laws of the State of Alabama, with its principal place of business at 3001 9th Avenue SW, Office 33, Huntsville, Alabama 35805.

2. Description of Services

Jolt

A subscription-based mobile and web application providing electricians with NEC code compliance references, formula calculators, field tools, and AI-assisted trade guidance, accessible at electricianjolt.com and via the Google Play Store.

Senda Trades

A digital trade training and apprenticeship preparation platform currently in development, accessible at sendatrades.com.

Contractors License OS

A B2B SaaS platform ($39.99/month subscription) designed to guide electrical contractors through the Alabama contractor licensing process. Includes: (a) The Hit List CRM — a pipeline management tool for tracking Master Electrician signatures with one-click pre-filled PDF affidavit generation; (b) Field Hours Tracker & Board Deadline Engine — a logged-hours system with automated audit-risk flagging and state board meeting targeting; and (c) The Crucible — an AI-powered, voice-driven exam preparation engine utilizing spaced repetition (SM-2 algorithm) to prepare applicants for the state board review.

3. Intellectual Property Rights

3.1 Ownership

All content, features, functionality, software code, algorithms, databases, user interface designs, graphics, text, trade secrets, proprietary methodologies, NEC reference compilations, formula libraries, field tool logic, AI prompt architectures, training data structures, CRM pipeline logic, PDF generation workflows, spaced repetition implementations (including SM-2 algorithm adaptations), board deadline calculation engines, audit-risk flagging logic, and any other materials contained within or underlying the Services (collectively, "Company IP") are the exclusive property of Rambam's Ladder LLC and are protected under applicable United States and international laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and the Alabama Trade Secrets Act (Ala. Code § 8-27-1 et seq.).

3.2 Trademarks

"Rambam's Ladder," "Jolt," "Senda Trades," "Contractors License OS," "The Hit List CRM," "The Crucible," and associated logos and trade dress are trademarks and service marks of Rambam's Ladder LLC. You may not use these marks in any manner without the prior written consent of the Company.

3.3 License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal or internal business use as a trade professional. This license does not include the right to copy, reproduce, or create derivative works; reverse engineer any Service; scrape or harvest data; use Company IP to train competing AI systems; replicate the functionality of any Service in a competing product; or sublicense or commercially exploit any Service without express written consent.

3.4 Trade Secret Protection

The Company's NEC code compliance logic, formula calculation methodologies, AI prompt structures, CRM pipeline design, PDF affidavit generation workflows, board deadline calculation engine, audit-risk flagging algorithms, and spaced repetition exam engine (including The Crucible's SM-2 implementation and voice-driven interaction model) constitute trade secrets under the Defend Trade Secrets Act and the Alabama Trade Secrets Act. Any unauthorized acquisition, disclosure, or use of these trade secrets is strictly prohibited and will be prosecuted to the fullest extent of applicable law, including civil and criminal remedies.

3.5 User-Submitted Content

If you submit content to any Service (including field hacks, tips, hours logs, or other contributions), you grant the Company a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, and distribute such content in connection with the Services and the Company's marketing activities. You represent and warrant that you own or have the necessary rights to submit such content.

4. Subscription and Licensing Terms

4.1 Jolt — Subscription Plans

Access to certain features of the Jolt application requires a paid subscription. Pricing, billing cycles, and available plans are described at electricianjolt.com and are subject to change with reasonable notice.

4.2 Contractors License OS — Monthly Subscription

Access to Contractors License OS is provided on a monthly subscription basis at $39.99 USD per month. Subscriptions are billed in advance on a recurring monthly basis and automatically renew unless cancelled. This subscription grants the purchasing individual or business entity a single-seat, non-transferable license to use the platform for managing one Alabama electrical contractor license application process. The license does not include the right to share access credentials or resell access.

4.3 Billing and Renewal (Jolt)

Jolt subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

4.4 Refund Policy

All fees paid to the Company — including Jolt subscription fees and Contractors License OS subscription fees — are non-refundable except as required by applicable law or as expressly stated in a separate written agreement with the Company.

5. Acceptable Use Policy

You agree not to use the Services to violate any applicable law or regulation; infringe upon the Company's or any third party's intellectual property rights; transmit harmful or offensive content; impersonate any person or entity; interfere with or disrupt the Services; attempt to gain unauthorized access to any system or network; use the Services for competitive intelligence or product development that could harm the Company's competitive position; use automated scripts or scrapers without express written permission; or share, resell, or redistribute access to any Service without prior written consent.

6. Professional Disclaimer

The Services are provided for informational and operational reference purposes only and do not constitute legal, engineering, regulatory, or professional advice. Users of Contractor License OS are solely responsible for verifying the accuracy of their submitted hours, affidavits, and application materials with the Alabama Electrical Contractors Board. The Company makes no guarantee that use of Contractors License OS will result in license approval. Users of Jolt are solely responsible for verifying compliance with all applicable codes and regulations enforced by the Authority Having Jurisdiction (AHJ) in their specific location. Reliance on any information provided through the Services is at your own risk.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE COMPANY DOES NOT WARRANT THAT CONTRACTOR LICENSE OS WILL RESULT IN A SUCCESSFUL LICENSE APPLICATION OR BOARD APPROVAL.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAMBAM'S LADDER LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, FAILED LICENSE APPLICATIONS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Rambam's Ladder LLC and its members, managers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Services.

10. Privacy and Data

Your use of the Services is governed by the Company's Privacy Policy (rambamsladder.com/privacy), incorporated into these Terms by reference. The Company collects email addresses, usage data, and — in the case of Contractor License OS — professional hours logs and application data for the purpose of operating the Services and improving the Company's products. The Company does not sell personal data to third parties.

11. Termination

The Company reserves the right to suspend or terminate your access to the Services at any time, with or without cause and without notice, including for violation of these Terms. Termination of a Contractors License OS subscription does not entitle the user to a refund of any fees already paid for the current billing period. All provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Madison County, Alabama, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to Terms

The Company reserves the right to modify these Terms at any time. When changes are made, the Company will update the "Last Updated" date at the top of this page. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

14. Miscellaneous

These Terms constitute the entire agreement between you and the Company regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The Company's failure to enforce any right will not be considered a waiver. You may not assign these Terms without the Company's prior written consent.
